These Terms of Service ("Terms") govern your access to and use of the software services, APIs, and digital products ("Services") provided by HDGregory LLC, a Texas limited liability company ("HDGregory," "we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms.
HDGregory LLC provides hosted API access to software services classified under NAICS code 511210 (Software Publishers). All Services are provided as hosted API endpoints. We do not distribute source code, compiled binaries, or executable software files to customers.
Subject to your compliance with these Terms and timely payment of applicable fees, HDGregory LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business operations. This license does not include the right to:
Access to Services may require payment per API call, per subscription period, or per license key as specified at the time of purchase. Payments are processed through Stripe. Machine-to-machine payments may be processed via the x402 protocol using USDC stablecoins on supported blockchain networks. All fees are non-refundable except as described in our Refund Policy.

All software, algorithms, models, APIs, documentation, and related materials comprising the Services are the exclusive property of HDGregory LLC and are protected by applicable intellectual property laws. These Terms do not convey any ownership interest in the Services to you.
HDGregory LLC will make reasonable efforts to maintain Service availability but does not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue any Service at any time with reasonable notice where practicable.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. HDGREGORY LLC DOES NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HDGREGORY LLC'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE THIRTY (30) DAYS PRECEDING THE CLAIM. IN NO EVENT SHALL HDGREGORY LLC BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
HDGregory LLC may terminate or suspend your access to the Services immediately, without prior notice or liability, for any violation of these Terms. Upon termination, your license to use the Services ceases immediately. Provisions that by their nature should survive termination shall survive, including intellectual property, disclaimer of warranties, and limitation of liability.
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Texas.
We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date. Your continued use of the Services after changes constitutes acceptance of the revised Terms.
